These Terms govern your access to and use of the websites, products, and services provided by Gold Standard Web ("we", "us", "our"), including Ryzor and our website design and hosting services (together, the "Services"). By using the Services you agree to these Terms.
1 Eligibility and accounts
You must be at least 18 and able to form a binding contract. If you create an account, provide accurate information, keep it current, safeguard your credentials, and tell us promptly about any unauthorised use. You're responsible for activity under your account.
2 The Services
We provide software that generates websites, and website design, hosting, and maintenance services. We may add, change, or discontinue features. We aim to keep the Services available and reliable but do not guarantee they will be uninterrupted or error-free.
3 Fees, subscriptions, and cancellation
- Paid Services are billed as described at the point of purchase. By subscribing you authorise us and our payment processor to charge your payment method.
- Subscriptions renew automatically each billing period until cancelled.
- There is no minimum term on our website care plans. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Fees already paid are not refundable except where required by law or expressly stated in your agreement.
- We will give you reasonable notice before a price change affects you.
4 Your content and ownership
You keep ownership of the content you give us. Subject to these Terms and payment of applicable fees, you own the outputs you generate using our software. You grant us a limited licence to host, process, and display your content solely to operate the Services. You confirm you have the rights to the content you provide and that it doesn't infringe anyone else's rights or break any law.
Domain names. Where we register a domain for you, we register it in your name. It is yours, and we will transfer control to you on request at any time.
5 Our representatives
Some of our sales representatives are independent contractors, not employees. A representative is authorised only to present our standard agreement on its published terms. No representative may change any term, offer a discount, promise any result, name an unconfirmed delivery date, sign on your behalf, handle your payment details, or accept cash.
If a representative told you something inconsistent with these Terms, your agreement, or the pricing published on this website, that statement was not authorised and is not binding on us. Please tell us before you sign anything.
6 Acceptable use
You agree not to use the Services for any unlawful, harmful, deceptive, or infringing purpose; upload malware or attempt to disrupt, probe, or gain unauthorised access to our systems; reverse engineer, resell, or copy the Services except as expressly permitted; generate content that is illegal, hateful, harassing, or that violates others' rights or privacy; use the Services to send unsolicited bulk messages; or misrepresent your identity or affiliation. We may suspend or terminate access for violations.
7 Intellectual property
The Services, including their software, design, and branding — the Gold Standard Web, Ryzor, and The Prospectors names and logos — are owned by us and protected by law. Except for rights expressly granted to you, we reserve all rights.
8 Third-party services
The Services may integrate with or link to third-party services such as payment, hosting, and e-signature providers. We're not responsible for them and your use of them may be subject to their own terms.
9 What we do not promise
Except as expressly stated in these Terms or your agreement, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Specifically, and regardless of anything anyone may have told you, we do not promise any search engine position or ranking, any number of visitors, calls, enquiries, customers, or sales, or any other business outcome.
10 Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.
11 Indemnification
You agree to indemnify and hold us harmless from claims, damages, or expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
12 Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Services. On termination the rights granted to you end, though provisions on ownership, disclaimers, and limitation of liability survive.
13 Governing law
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Wisconsin, unless applicable law provides otherwise.
14 Changes
We may update these Terms. When we do we'll revise the date above and, where appropriate, give additional notice. Continued use after an update means you accept the revised Terms.
